Software License Agreement for Tally Add-ons

IMPORTANT: This Software License Agreement ("SLA") is a legally binding agreement between you (either an individual or a single entity) and Patel Software for the Tally add-on software products developed by Patel Software. By installing, copying, or otherwise using the software product, you agree to be bound by all terms of this agreement. If you do not agree to these terms, do not install or use the software product.

Agreement Overview

This Software License Agreement ("SLA") governs your use of Tally add-on software products developed by Patel Software ("SOFTWARE PRODUCT"), which includes computer software and associated documentation. The SOFTWARE PRODUCT is protected by copyright laws and international treaties, as well as other intellectual property laws. The SOFTWARE PRODUCT is licensed, not sold.

Grant of License

Patel Software grants you a non-exclusive, non-transferable license to use the SOFTWARE PRODUCT under the following conditions:

Single Computer Installation

You may install and use one copy of the SOFTWARE PRODUCT on a single computer. The primary user of that computer may install a second copy on a portable computer for their exclusive use.

Network Storage

You may store or install a copy on a network storage device for installation on other computers within your internal network, provided you acquire a separate license for each computer where the SOFTWARE PRODUCT is installed or executed.

License Pack

If you have purchased a license pack, you may make additional copies according to the number of licenses acquired, with each copy subject to the terms of this agreement.

Demo Versions

Demo versions may be used without restriction for evaluation purposes only.

License Limitations

No Resale

You may not resell, transfer for value, or commercially exploit the SOFTWARE PRODUCT.

No Reverse Engineering

You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except as expressly permitted by applicable law.

Component Integrity

The SOFTWARE PRODUCT is licensed as a single product. Its components may not be separated for use on multiple computers.

No Rental

You may not rent, lease, or lend the SOFTWARE PRODUCT to any third party.

Support Services

Patel Software may provide support services related to the SOFTWARE PRODUCT. Any supplemental software code provided as part of support services shall be considered part of the SOFTWARE PRODUCT and subject to this agreement. Technical information provided by you may be used by Patel Software for business purposes, including product support and development, while maintaining your confidentiality.

Software Transfer

You may permanently transfer all rights under this agreement, provided you retain no copies, transfer all components (including media, documentation, upgrades, and this agreement), and the recipient agrees to these terms. If the SOFTWARE PRODUCT is an upgrade, the transfer must include all prior versions.

Termination

Patel Software may terminate this agreement if you fail to comply with its terms. Upon termination, you must destroy all copies of the SOFTWARE PRODUCT and its components.

Indemnification

You accept full legal responsibility for all activities performed using the SOFTWARE PRODUCT. Unauthorized decryption or access to protected files may constitute legal violations. You agree to indemnify and hold harmless Patel Software from any claims, damages, legal actions, attorney fees, and costs arising from your use of the SOFTWARE PRODUCT.

Upgrades

If the SOFTWARE PRODUCT is labeled as an upgrade, you must be properly licensed for the base product. Upgraded products may only be used according to this agreement. Upgrade components may not be separated from the original product package.

All copyrights, titles, and intellectual property rights in the SOFTWARE PRODUCT (including images, animations, audio, text, and applets) are owned by Patel Software or its suppliers. The SOFTWARE PRODUCT is protected by copyright laws and international treaties. You may make one backup copy for archival purposes only.

Dual-Media Software

If you receive the SOFTWARE PRODUCT in multiple media formats, you may only use the medium appropriate for your single computer. Other media may not be installed on additional computers or transferred to other users, except as part of a permanent transfer of the entire SOFTWARE PRODUCT.

Disclaimer of Warranties & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PATEL SOFTWARE AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE PRODUCT AND SUPPORT SERVICES.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PATEL SOFTWARE OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF PATEL SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Maximum Liability: In any case, Patel Software's entire liability under any provision of this agreement shall be limited to the greater of the amount actually paid by you for the SOFTWARE PRODUCT or U.S. $5.00. Some jurisdictions do not allow the exclusion or limitation of liability, so the above limitations may not apply to you.
